This Terms of Service and End User License Agreement (hereinafter referred to as the "Agreement"), determines the legal framework between OPanel (hereinafter referred to as the "Company") and resellers authorized to license OPanel (hereinafter referred to as the "Reseller") and end users who use the software by obtaining a license through these Resellers (hereinafter referred to as the "End User").

IMPORTANT DISTRIBUTION NOTICE: OPanel does not make direct retail sales to the End User. Our company only provides wholesale license provision services to corporate Resellers. End Users can only purchase the valid license required to use the OPanel software through authorized OPanel Resellers.

1.License Provision and Reseller Relationship

OPanel is a copyrighted server control panel whose intellectual property rights belong entirely to the Company. The Company grants Resellers the right to create and manage license keys (Resellership) to be assigned to their own client portfolios.

The End User only has the right to run the software, subject to the usage limits determined by the Reseller from whom they purchased the license (IP address, server limit, etc.) and the separate contract between them and the Reseller. The software is never transferred or sold to the End User under any circumstances, it is only rented/licensed.

2.Server Management & Disclaimer of Content

OPanel is a self-hosted server control panel software. Our company is not a data center, web hosting, or server hosting provider. The management and ownership of the physical/virtual servers on which the software is installed belong entirely to the End User (or the Reseller hosting it).

In this context, the following legal limits apply:

  • Infrastructure Responsibility: Our company cannot interfere with, access, or impose restrictions on the internet gateway, hosted files, or data traffic of the installed server.
  • Legality of Content: The compliance of all data hosted on the server (software, emails, etc.) with local and international laws is entirely the responsibility of the End User and the relevant Reseller.

⚠️ License Termination Conditions (Company Rights):

Although user servers cannot be interfered with, OPanel has the authority to cancel or suspend the relevant license in the following cases to protect intellectual property security:

🔐 Reverse Engineering & Cracking Disrupting the license control of the software, attempting to crack the source code, or distributing it pirated.
🛡️ API Abuse Damaging the system by intentionally sending excessive/abnormal requests to OPanel central activation APIs.

3.Payment, Invoicing and Support Hierarchy

  • Financial Addressee: OPanel does not collect payments directly or issue retail invoices to End Users. End Users are addressed to the Reseller from whom they purchased the license for financial matters (payment, refund, invoice).
  • Reseller Invoicing: Our company performs corporate billing in accordance with bulk license credits or periods provided to Resellers. In the event that the Reseller fails to fulfill its debt obligations to the Company, the authority to suspend licenses under the relevant Reseller is reserved.
  • Support Requests (SLA): End Users forward technical support requests to the Reseller from whom they purchased the license in the first stage. The Reseller has the authority to escalate license/software errors that it cannot resolve to the OPanel central technical team.

4.Warranty Disclaimer and Data Losses

OPanel is provided on an "AS-IS" and "AS AVAILABLE" basis. The Company does not guarantee that the software will be completely error-free or run with 100% compatibility with all user infrastructures.

Backup Responsibility: The security and backup of data hosted on the server (websites, databases, emails, etc.) is entirely the responsibility of the User. The Company cannot be held responsible for any hardware failure, software crash, or data loss.
Security Vulnerabilities: Compromise of server passwords, installation of vulnerable software, or hacking incidents resulting from 3rd party plugins are the User's responsibility.

5.SLA Warranty and Technical Support Limit

OPanel provides an annual 99.9% Uptime warranty for central API and License verification servers.

Technical support coverage only includes OPanel software's own modules (interface, panel API, panel updates). Server optimization, 3rd party script errors (WordPress, PHP coding errors, etc.) or external corruptions at the operating system level are excluded from free OPanel support coverage and fall under paid system administration.

6.Contract Modifications

The Company reserves the right to update this agreement at any time to comply with changing laws and new product updates. The updated agreement becomes effective from the moment it is published on the website. Users are recommended to check this page periodically.

Governing Law and Competent Courts

In the resolution of all disputes that may arise from this agreement, the Laws of the Republic of Turkey shall be applied, and the competent courts and enforcement offices in the resolution of disputes are Istanbul (Caglayan) Courts.
